Terms of Service

These Terms of Service ("Terms") govern your use of the BOE Ad Manager application and related services (the "App") operated by Blue Ocean Enterprise - FZCO ("we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms.
1. Description of Service
The App provides advertising management and automation services for Meta (Facebook/Instagram) advertising platforms. The App enables authorized users to:
- Create, manage, and optimize advertising campaigns on Meta platforms
- Automate ad campaign creation workflows
- Monitor and report on advertising performance
- Manage creative assets for advertising purposes
The App is an internal business tool designed for use by Blue Ocean Enterprise - FZCO and its authorized personnel, contractors, and partners.
2. Eligibility
To use the App, you must:
- Be at least 18 years of age
- Have authorization from Blue Ocean Enterprise - FZCO to access and use the App
- Have valid access to the Meta advertising accounts connected to the App
- Comply with Meta's Terms of Service, Advertising Policies, and Community Standards
3. Account and Access
- You are responsible for maintaining the confidentiality of your access credentials
- You must notify us immediately of any unauthorized use of your account
- We reserve the right to suspend or terminate access at any time for any reason
- You are responsible for all activities that occur under your account
4. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the App to create, distribute, or promote content that violates Meta's Advertising Policies or Community Standards
- Attempt to reverse-engineer, decompile, or disassemble the App
- Use the App to create advertisements for prohibited products or services as defined by Meta's policies
- Attempt to gain unauthorized access to other users' accounts, advertising data, or any systems connected to the App
- Use the App to collect, store, or process personal data of individuals in violation of applicable data protection laws
- Use automated systems or bots to interact with the App beyond its intended functionality
- Duplicate or mass-create identical ads to manipulate Meta's ad delivery system
- Attempt to reverse-engineer how Meta's delivery engine works
- Share advertising data or audience information across businesses or entities
5. Advertising Compliance
All advertising campaigns created through the App must comply with:
You are solely responsible for the content, accuracy, and legality of all advertisements created through the App. We do not review or approve individual advertisements for legal compliance.
6. Intellectual Property
- The App and its original content, features, and functionality are owned by Blue Ocean Enterprise - FZCO and are protected by international copyright, trademark, and other intellectual property laws
- You retain ownership of any advertising content, creative assets, and copy that you create or upload through the App
- You grant us a limited, non-exclusive license to use your content solely for the purpose of providing the App's services
7. Third-Party Services
The App integrates with third-party services, including but not limited to:
- Meta (Facebook/Instagram) Marketing API
- ClickUp project management platform
- Google Drive and other cloud storage services
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party services.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The App is provided "as is" and "as available" without warranties of any kind, either express or implied
- We do not warrant that the App will be uninterrupted, error-free, or secure
- We are not responsible for any losses arising from Meta's changes to their API, policies, or platform
- We are not liable for any ad account suspensions, policy violations, or delivery issues resulting from content you create or approve through the App
- Our total liability shall not exceed the fees paid by you for the use of the App in the 12 months preceding the claim
9. Indemnification
You agree to indemnify and hold harmless Blue Ocean Enterprise - FZCO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the App
- Your violation of these Terms
- Your advertising content or campaigns
- Your violation of any third-party rights or applicable laws
10. Data Protection
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the data practices described in our Privacy Policy.
11. Termination
- We may terminate or suspend your access to the App immediately, without prior notice, for any reason including breach of these Terms
- Upon termination, your right to use the App ceases immediately
- Data deletion upon termination will be handled in accordance with our Privacy Policy
- Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, providing additional notice. Your continued use of the App after modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blue Ocean Enterprise - FZCO regarding the use of the App.
